Jai Clark

Summary

I come from a background in private practice, specialising in corporate law. Since joining Addisons' corporate group in 2019, I have worked closely with private and public companies on a wide range of corporate and commercial matters, with a focus on mergers and acquisitions, corporate governance, contractual interpretation and advice. Please see the attached deals list which shows a representative sample of some of the transactions I have worked on.

In this role I advise clients, primarily public and private companies, on a broad range of business matters and act as external general counsel for a number of clients. This role largely involves work in private M&A, equity capital markets, corporate governance, commercial contracts and general regulatory advice.


Tasks include:

  • drafting (such as due diligence reports, sale and purchase agreements, completion deliverables and ancillary documents, commercial contracts, advice and documents necessary to incorporate companies);
  • having responsibility for certain matters and being the main point of contact for clients in relation to those matters;
  • participating in and leading conference calls with clients, other legal representatives and other parties;
  • collaborating with colleagues from different practice areas on certain matters;
  • ensuring deadlines are met;
  • legal due diligence; and
  • legal research.

Skills Abilities

Having worked in a range of different environments I have developed sound managerial skills. I am able to engage with a group and delegate roles to ensure larger tasks are completed properly and efficiently., I have worked in teams and collaborated with professionals with a range of skill sets, for example collaborating with academics while carrying out research, training and advising colleagues, or liaising with other parties in legal matters. I am able to participate as a member of a larger team, focusing on specific tasks and assisting others where necessary., Through my academic studies, my position as a research assistant and my position as a law clerk I have developed sound legal research skills. I am able to find relevant materials efficiently and analyze and summarize these findings for presentation. I have dealt with a range of materials and sources including: Case law and legislation. Journal articles, textbooks and websites. Parliamentary sources, such as Hansards and reports. I have a firm grasp of research tools including Westlaw, Austlii and LexisNexis, and have a thorough knowledge of the Australian Guide to Legal Citation, as well as experience with US standard citation (Bluebook). I have strong skills in using general computer software such as Microsoft Office, as well as Legal specific software in LEAP., I have sound communication skills suitable for any workplace environment. Most importantly I am able to communicate at the higher level required in legal environments, a skill which I have developed both orally and in written form through collaborating with academics, research students, my employer and other professionals including legal professionals, conveyancers and administrative staff., I have previously served as the Vice President (2016) and President (2017) of the Wollongong Chapter of the Golden Key International Honour Society. Membership of this organization is by invitation only, given for outstanding academic performance. My role in the society involved: Organizing social events and fundraisers. Collaborating with other members and delegating tasks when organizing events. Community service (for example, serving food at the Lighthouse community kitchen, Wollongong). Participating in leadership and event management workshops.
