Providing Facility Agent and Security Trustee services to a portfolio of syndicated debt facilities. Responsibilities include:

• Overall management of the syndicated facility on behalf of the syndicate lenders as required by the facility documentation.
• Liaising with Borrower at CFO/Senior Treasury level
• Reviewing all transaction documents on behalf of the Facility Agent and Security Trustee to ensure syndication documentation is consistent with internal policies and operational requirements.
• Coordinating the satisfaction of all conditions precedent and providing confirmation to the syndicate financiers in order for funding to proceed.
• Managing all payment functions relating to drawings under the syndicated facilities through our operations team. This includes receipt of funding notices, setting of interest rates, interest/fee calculations and payments.
• Managing all waivers, consents and amendments in relation to the syndicated facility documents. This involves consultation with the borrowers and financiers, convening and chairing syndicate bank meetings, coordinating the documentation of any agreed waiver/consent/amendment and instructing external legal counsel if required by the financiers.
• Monitoring and distribution to financiers of all reporting requirements under the Facility Agreement.
• Controlling project accounts on the terms required by the facility documentation.
• Holding security on behalf of the financiers and security beneficiaries, monitoring compliance with the securities, coordinating and attending to the release of security as requested by the security beneficiaries.
• Taking appropriate action in the case of default such as the appointment of Voluntary Administrators and Receivers.
• Collaborate with internal stakeholders across the value chain including relationship teams, syndications, operations, legal, tax, AML/KYC to ensure successful deal execution.

Leading a diverse team to deliver Agent & Security Trustee services to over 220 Corporate and Institutional customers. Responsibilities include:

• Issue and incident management , including ongoing monitoring and controls.
• Establish and maintain procedures with a focus on driving efficiencies in end to end processes and ensuring compliance with internal policies.
• Collaboration with stakeholders across the Agency Services value chain to ensure successful delivery of the product.
• Understanding of external market matters that impact the Agency Services product, including being a member of the APLMA documentation committee.
